By accessing or using any KwynTech.ai platform, product, API, software development kit (SDK), or service (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
If you do not agree to these Terms, do not access or use the Services. These Terms apply to all tiers: Developer (free), Teams Pro, and Enterprise, as well as any pilot, beta, or early access programs.
KwynTech.ai LLC provides unified AI infrastructure for the agent economy. The Services include five proprietary technology stacks:
KwynTech.ai LLC owns all right, title, and interest in and to the Services, including the five proprietary stacks, the unified runtime architecture, all associated software, algorithms, interfaces, documentation, and all intellectual property rights therein. The following are trademarks of KwynTech.ai LLC: KwynTech.ai, Shader Stacks, Audio Stacks, PrismHD, Synchronization Stacks, Self-Healing Framework, Recursive Governance Protocols, RGP, and all associated logos and branding.
A consolidated public-facing IP & notices page is published for convenience and does not replace these Terms.
You own everything you build. KwynTech.ai does not claim ownership of any AI agents, applications, data, or other works you create using the Services. Your agents, your data, your IP — full stop.
Subject to these Terms and payment of applicable fees, KwynTech.ai grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your lawful internal business or personal development purposes.
You may not: reverse engineer or decompile any KwynTech.ai proprietary stack; sublicense, sell, or resell the Services; use the Services to build a product that directly competes with KwynTech.ai's core infrastructure offering; remove or alter proprietary notices; or use the Services in violation of applicable law.
Developer Tier Only: Public-facing deployments built on the Developer (free) tier must include "Powered by KwynTech.ai" attribution in a reasonably visible location, linking to https://kwyntech.ai where technically feasible. This requirement is waived for Teams Pro and Enterprise tiers.
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify KwynTech.ai immediately at kwynsi@kwyntech.ai of any unauthorized use.
Developer Tier is free forever. No credit card required. Teams Pro is billed at $149/month. 30-day pilots begin without charge; billing commences on day 31 unless cancelled. Enterprise agreements are governed by individual contract terms starting at $10,000/year.
KwynTech.ai's Self-Healing Framework targets 99.97% uptime for Teams Pro and standard Enterprise tiers. Enterprise clients may negotiate dedicated SLAs up to 99.99% uptime. Developer tier access is provided on a best-effort basis with no uptime guarantee.
Your use of the Services is also governed by KwynTech.ai's Privacy Policy, incorporated herein by reference. You retain ownership of all data you submit to or generate through the Services. Enterprise clients may request a Data Processing Agreement (DPA) for EU GDPR compliance, HIPAA BAA, or other regulatory requirements.
You agree not to use the Services to violate any applicable law or third-party rights; build or deploy AI systems intended to cause harm, facilitate illegal activity, or engage in surveillance without consent; generate or distribute illegal content including content that exploits minors; circumvent any security or access control measures; or misrepresent your identity, affiliation, or the capabilities of systems built on KwynTech.ai infrastructure.
AI Safety Clause: You agree not to disable, circumvent, or modify RGP governance controls in ways that would expose end users or third parties to harm or regulatory liability.
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, KwynTech.ai LLC'S TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL FEES PAID BY YOU TO KwynTech.ai IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).
You agree to indemnify, defend, and hold harmless KwynTech.ai LLC, its founder, officers, agents, and successors from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with your access to or use of the Services, your violation of these Terms, or any AI systems or applications you build, deploy, or operate using the Services.
You may terminate your use of the Services at any time by ceasing use and, where applicable, cancelling your subscription. KwynTech.ai may terminate or suspend your access immediately, without prior notice, if you materially breach these Terms, engage in prohibited conduct, or continued provision would expose KwynTech.ai to legal liability.
These Terms are governed by the laws of the State of Georgia, United States, without regard to its conflict of law principles. Disputes shall first be subject to good-faith negotiation, then binding arbitration administered under AAA Commercial Arbitration Rules in Chatham County, Georgia.
KwynTech.ai reserves the right to modify these Terms at any time. Material changes will be communicated via email to registered users at least 30 days before taking effect.
